1. These Terms of Use set forth the terms and conditions for the use of the points program called "Metaplanet Points" (hereinafter, the "Points") provided through the shareholder service "Shareholder Portal" offered by Metaplanet Inc. (hereinafter, the "Company"). Users shall use the Points service only after agreeing to these Terms. 2. This Program shall comply with the principle of shareholder equality while allowing reasonable distinctions.
1. "Points" means points in the form of electronic records granted in accordance with services provided on the Shareholder Portal by the Company or activities designated by the Company. 2. The conditions for granting the Points, the methods of use, and the conditions for exchange shall be separately prescribed by the Company. 3. "Shareholder" means any person recorded in the company's shareholder registry. 4. "Internal-affiliated shareholder" means a shareholder who is also an officer or employee of the Company.
1. The Company may establish multiple types of Points. 2. The details, conditions of use, and exchange conditions for each type of Point shall be separately prescribed by the Company.
1. The Points may be used by users (shareholders) of the Shareholder Portal provided by the Company. 2. Points shall be granted only to users of the Shareholder Portal. 3. If the Company determines that a user of the Shareholder Portal falls under any of the following, the Company may restrict or suspend such user's use of the Points: (a) where the user has violated these Terms; (b) where the user has acquired or used Points by fraudulent or improper means; or (c) where the Company otherwise determines that such user is inappropriate.
1. The Company shall grant the Points when a user satisfies the conditions prescribed by the Company. 2. The acts eligible for the grant of Points, the number of Points to be granted, the timing of grant, and the method of grant shall be separately prescribed by the Company. 3. The Company may change the conditions for granting Points or the details thereof.
1. The treatment under this Article is not based on shareholder status but on the separate legal status as an officer or employee. 2. Activities expected as part of official duties may be excluded from point eligibility. 3. Such exclusions shall only apply where (i) the activity is inherently part of duties, (ii) participation opportunities are not equivalent, and (iii) double incentives are avoided. 4. Activities unrelated to official duties shall remain eligible for points in principle. 5. Internal-affiliated shareholders shall not exploit their position to improperly obtain points.
1. Users may confirm the balance of Points they hold and their usage history by the method prescribed by the Company on the Shareholder Portal. 2. The Point balance recorded in the Company's system shall be deemed to be the user's Point balance.
1. Users may use the Points by the method designated by the Company. 2. The Points may be used, in accordance with the value standards prescribed by the Company, for services provided by the Company or services within the Metaplanet ecosystem designated by the Company. 3. The Points may not be redeemed for cash, refunded, or transferred to any third party. 4. The items eligible for exchange and the exchange conditions shall be separately prescribed by the Company.
1. If the Company determines that any of the following applies, the Company may cancel or adjust all or part of the Points granted to a user: (a) where the user acquired the Points by fraudulent means; (b) where the relevant act or transaction has been cancelled; (c) where Points were granted in error due to a system error or otherwise; or (d) where the Company otherwise determines such cancellation or adjustment to be necessary.
1. In principle, the Points shall not have an expiration date. 2. Notwithstanding the preceding paragraph, the Company may in the future set an expiration date for the Points. 3. In such case, the Company shall notify users or make a public announcement by reasonable means.
1. In using the Points, users shall not engage in any of the following acts: (a) acquiring or using Points by fraudulent or unlawful means; (b) selling, transferring, or creating a security interest over the Points; (c) unauthorized access to the system or any other act that interferes with the operation of the service; or (d) any act that infringes the rights or interests of the Company or any third party.
1. The Company may change, suspend, or terminate all or part of the Points service due to system maintenance or other operational reasons.
1. The Company shall not be liable for any damage incurred by a user in connection with the Points service, except where such damage is caused by the Company's willful misconduct or gross negligence. 2. Even where the Company is liable, such liability shall be limited to the equivalent amount of the Points used in connection with the transaction that caused the relevant damage.
1. Users represent and warrant that they do not fall under the category of anti-social forces.
1. The Company shall provide notices concerning the Points service through the Shareholder Portal, the Company's website, email, or any other method deemed appropriate by the Company.
1. The Company may amend these Terms. The details of such amendment and the effective date thereof shall be announced on the Shareholder Portal or the Company's website.
1. Metaplanet Points are benefits granted for the purpose of promoting the use of the Company's services, and are not money, electronic money, prepaid payment instruments, or crypto-assets.
1. Users may not assign to any third party, or create a security interest over, any rights or obligations under these Terms.
1. Even if any provision of these Terms is determined to be invalid or unenforceable under applicable laws or regulations, the remaining provisions shall remain valid and in full force and effect.
1. Users of the Shareholder Portal shall manage their account information at their own responsibility. 2. Users shall not allow any third party to use their account, nor lend or transfer their account to any third party. 3. Points acquired through unauthorized use of an account may be cancelled by the Company.
1. If a user ceases to be a shareholder of the Company's shares, such user shall lose eligibility to use the Shareholder Portal. 2. In the case described in the preceding paragraph, the Company may suspend such user's use of the Shareholder Portal. 3. If a user loses shareholder status, any Metaplanet Points held by such user shall expire at that time. 4. Even where a user once sells the Company's shares and subsequently repurchases them, if the shareholder number after such reacquisition differs from the previous shareholder number, such user shall be treated as not having maintained continuous shareholder status.
These Terms shall come into effect on March 26, 2026.
